1. Parties

This Individual Membership Agreement (hereinafter referred to as “Membership Agreement“); “Çamyuva Mah. Gazi Mustafa Kemal Cad.No: 28/A KEMER- ANTALYA / TUR” TrCompass Real Estate İNŞAAT TURİZM SANAYİ VE TİCARET LİMİTED ŞİRKETİ (hereinafter referred to as “TrCompass Real Estate” (hereinafter referred to as) and www.trcompass.com Portal to become a member of this Membership Agreement and its annexes, which are inseparable parts of this Membership Agreement, and the terms and rules on the trcompass.com Portal “Member” between the parties in electronic environment and entered into force.

2. Definitions

“Portal”: The website and/or mobile applications on which “TrCompass Real Estate” offers its services, consisting of the domain name www.trcompass.com and subdomains connected to this domain name.

“User”: Any natural or legal person accessing the “Portal”.

“Member”: “User” who is a member of the “Portal” and benefits from the services offered within the “Portal” within the specified conditions.

“Individual Member”: “User” who is a member of the “Portal” and benefits from the services offered within the “Portal” within the specified conditions without pursuing professional or commercial purposes.

“Individual Membership” (“Membership”): It is the status gained with the notification made by “TrCompass Real Estate” upon the “User” who wants to become an “Individual Member” fills in the Individual Membership form on the “Portal” completely with correct and true information. The right and authorization to become an “Individual Member” cannot be obtained without completing the membership procedures. “Membership” rights and obligations are the rights and obligations that belong to the applicant and cannot be transferred to any third party in whole or in part. “Membership” application may be rejected by “TrCompass Real Estate” without giving any reason or additional terms and conditions may be requested. “TrCompass Real Estate” may terminate the “Membership” status of the “Individual Member” if deemed necessary, and may not accept the subsequent “Membership” application of the person whose “Membership” is terminated for any reason.

“Membership Agreement”: The electronic contract, which consists of the terms and conditions and annexes in the “Portal”, which is concluded electronically as a result of the user’s electronic confirmation that he / she understands and accepts the “Membership Agreement”, which is a whole together with the terms and rules in the “Portal” with the annexes that are an integral part.

“TrCompass Real Estate Membership Account”: The whole of the internet pages specific to the “Member” where the “Member” performs the works and transactions necessary to benefit from the services offered in the “Portal”, makes requests to “TrCompass Real Estate” on issues related to “Membership”, updates the “Membership information and can view reports on the services offered, and accesses the “Portal” with the “username” and “password” determined by him and undertaken to be used exclusively by him.

“TrCompass Real Estate Services” (“Services”): These are the applications offered by “TrCompass Real Estate” in order to enable the “Member” to perform the business and transactions defined in this “Membership Agreement” within the “Portal”. “TrCompass Real Estate” may make changes and/or adaptations to the “Services” offered in the “Portal” at any time. The terms and conditions that the “Member” is obliged to comply with regarding the changes and/or adaptations made shall be announced to the “Member” on the “Portal”, and the terms and conditions announced shall enter into force on the date of publication on the “Portal”.

“Content”: All kinds of information, text, files, images, pictures, videos, figures, etc. published and accessible on the “Portal”. visual, textual and auditory images.

“TrCompass Real Estate Interface” : Internet pages and mobile application screens/pages that command the computer program to perform all kinds of transactions that can be made through the “Portal” within the designs that are protected under the Law No. 5846 on Intellectual and Artistic Works and all intellectual rights belong to “TrCompass Real Estate”, which are used by the “Users” in order for the content created by TrCompass Real Estate and “Members” to be viewed by the “Users” and queried from the “TrCompass Real Estate Database”.

“TrCompass Real Estate Database” : It is the database protected in accordance with the Law No. 5846 on Intellectual and Artistic Works, which belongs to “TrCompass Real Estate” where the contents accessed within the “Portal” are stored, classified, queried and accessed.

“My Private” page: The “Member”-specific page where the “Member” can perform the necessary transactions in order to benefit from various applications and “Services” on the “Portal”, enter his/her personal information, preferences, information requested from him/her on the basis of the application, and can only be accessed with the username and password determined by the “Member”.

“Personal Data”: Pursuant to Article 3/d of the Law No. 6698 on the Protection of Personal Data (KVKK), any information relating to an identified or identifiable natural person and special categories of personal data listed in Article 6/1 of the KVKK.

“Sensitive personal data”: Data relating to race, ethnic origin, political opinions, philosophical beliefs, religion, sect or other beliefs, appearance and dress, membership of associations, foundations or trade unions, health, sexual life, criminal convictions and security measures, and biometric and genetic data are sensitive personal data.

3. Subject and Scope of the “Membership Agreement”

The subject of this “Membership Agreement” is the determination of the “Services” offered on the “Portal”, the terms of utilization of these “Services” and the rights and obligations of the parties. The “Membership Agreement” and its annexes and all warnings, notices, applications and statements made by “TrCompass Real Estate” regarding the use, membership and “Services” in the “Portal” are within the scope. By accepting the provisions of this “Membership Agreement”, the “User” accepts and undertakes to act in accordance with all kinds of statements announced by “TrCompass Real Estate” regarding the use, membership and services in the “Portal”.

4. Terms of Membership

4.1 In order to become a member of the “Portal”, you must be of legal age and not have been temporarily suspended, suspended or banned from membership by “TrCompass Real Estate” under this “Membership Agreement”.

4.2 “TrCompass Real Estate” may at any time, without justification, notice, compensation, penalty, etc. may unilaterally terminate this “Membership Agreement” with immediate effect without any other obligation, terminate or temporarily suspend the “Membership” of the “Member”. Violations of the rules specified in the “Portal”, the cases where the “Member” poses a risk to the information security system of “TrCompass Real Estate” are among the cases of termination of membership or temporary suspension of membership.

5. Rights and Obligations of the Parties

5.1 Rights and Obligations of the “Member”

5.1.1 “Member” accepts and undertakes that he / she will act in accordance with the rules, statements, all applicable legislation and ethical rules specified in the “Portal”, and that he / she understands and approves the provisions of the “Membership Agreement” and all terms and rules in the “Portal”.

5.1.2 “Member” accepts and undertakes that in cases where “TrCompass Real Estate” is obliged to make a disclosure to the official authorities in accordance with the provisions of the legislation in force; “Member” is authorized to disclose confidential / private / personal data-special quality personal data / commercial information belonging to “Members” to the official authorities, and therefore accepts and undertakes that it will not claim compensation from “TrCompass Real Estate” under any name whatsoever. Apart from this, in the event that the “Member” notifies “TrCompass Real Estate” with the claim that the rights of any person or institution are violated in relation to the advertisements given by the “Member” on the “Portal” and notifies that he / she will apply to the judicial remedy; “TrCompass Real Estate” may give the name-surname information provided by the “Member” to the relevant party.

5.1.3. It is the responsibility of the “Members” to ensure the security of the “username” and “password” they use to log in to the “TrCompass Real Estate Membership Account” and they are required to use it exclusively and individually and to keep it from third parties. The “Member” shall be liable for any material and / or moral damages suffered or may be suffered by other “Members” and / or “TrCompass Real Estate” and / or third parties due to their negligence or defects in this regard.

5.1.4. “Member” accepts and undertakes that the information and contents provided by him/her within the “Portal” are accurate and lawful, and that the publication of such information and contents on the “Portal” or the sale and display of products related to such contents does not create any contradiction to the applicable legislation. “TrCompass Real Estate” is not obliged and responsible for investigating the accuracy of the information and contents transmitted by the “Member” to “TrCompass Real Estate” or uploaded by the “Member” through the “Portal”, and shall not be held liable for any damages arising from the incorrect or inaccurate information and contents or the publication of such information and contents.

5.1.5. “Member” cannot transfer this “Membership Agreement” or its rights and obligations under this “Membership Agreement” to any third party in whole or in part without the written consent of “TrCompass Real Estate”.

5.1.6. “Member” may perform transactions on the “Portal” for lawful purposes. The “Member” shall be legally and criminally responsible for every transaction and action he/she takes within the “Portal”. The “Member” agrees and undertakes that he/she will not reproduce, copy, distribute, process, transfer to other databases or upload to the “Portal” in a way that may have such consequences, pictures, texts, visual and audio images, video clips, files, databases, catalogs and lists contained in the “Portal” that may constitute an infringement of the real or personal rights, assets, personal data of “TrCompass Emlak” and/or another third party; will not engage in any commercial activity by performing such actions; It accepts and undertakes that it will not engage in behaviors and transactions that constitute unfair competition directly and / or indirectly, both directly and indirectly, with these actions and in other ways. “TrCompass Real Estate” cannot be held directly and / or indirectly responsible in any way for any damages incurred or may be incurred by third parties due to the activities on the “Portal” carried out by the “Member” in violation of the provisions of this “Membership Agreement” and the law.

5.1.7. “TrCompass Real Estate” allows “Members” to view the advertisements and use the “TrCompass Real Estate Interface” only for the purpose of learning the contents of the relevant advertisements, and for any other purpose other than this, trying to access a certain number or all of the advertisements through the database, copying the advertisements partially or completely, “TrCompass Real Estate” does not allow or consent to similar acts, including direct or indirect publication, compilation, processing, transfer to other databases, making them available for access and use by third parties from this database, linking to advertisements on “TrCompass Real Estate”. Such acts are unlawful; “TrCompass Real Estate reserves the necessary claim, lawsuit and follow-up rights.

5.1.8. “Member” accepts and undertakes that “TrCompass Real Estate” does not have any responsibility for defects in the goods and services received from third parties, that the addressee of all kinds of claims and responsibilities within the scope of the Law on Consumer Protection and other relevant legislation belongs to the seller of the relevant goods and services and that it releases “TrCompass Real Estate” from all kinds of responsibilities and obligations in relation to them.

5.1.9. In the event that the information provided by the “Member” during the Membership phase changes; It is obliged to inform “TrCompass Real Estate” of new and up-to-date information without delay. In case of failure to notify, “TrCompass Real Estate” reserves the right to recourse to the “Member” for all direct and indirect damages incurred.

5.1.10. The “Member” taking actions that may threaten the security of the “Portal” or “TrCompass Real Estate” systems and / or harm the “Portal”, “TrCompass Real Estate” and other users, making any attempt that may prevent the “Portal” and other software belonging to the “Portal” from working or other users from benefiting from the “Portal”, imposing a disproportionate load on the system or “Portal” in a way that will give these results; It is strictly forbidden to access the source codes of the “Portal” or the systems of “TrCompass Real Estate” in an unauthorized manner, copy, delete, change or make attempts in this direction, use software that will prevent the operation of the “Portal”, try to use it or disrupt the operation of all kinds of software, hardware and servers, cause them to malfunction, reverse engineer, organize attacks, engage them or otherwise interfere with them, try to access the servers of “TrCompass Real Estate”.

5.2. Rights and Obligations of “TrCompass Real Estate”

5.2.1. “TrCompass Real Estate” accepts, declares and undertakes to fulfill the services mentioned in this “Membership Agreement” within the scope of the explanations specified in the “TrCompass Real Estate Membership Account” regarding the provision of the relevant services and the conditions specified in this “Membership Agreement”, and to establish and operate the technological infrastructure necessary for the provision of the services specified in this “Membership Agreement”. The obligation to establish the technological infrastructure specified in this article does not mean an unlimited and complete service commitment; “TrCompass Real Estate” may stop or terminate its services and technological infrastructure determined by this “Membership Agreement” at any time without any notice.

5.2.2. “TrCompass Real Estate” reserves the right to change the services and contents offered on the “Portal” at any time; to close the information and contents uploaded to the system by “Members” to the access of third parties, including “Portal” users, and to delete them. “TrCompass Real Estate” may exercise this right without any notice or prior notice. “Members” are obliged to fulfill the changes and/or corrections requested by “TrCompass Real Estate” immediately. “TrCompass Real Estate” may make changes and/or corrections if deemed necessary. The damages, legal and criminal liabilities that arise or may arise due to the failure of the users to fulfill the change and/or correction requests requested by “TrCompass Real Estate” in a timely manner belong entirely to the users.

5.2.3. “The “Portal” may link to other websites and/or portals, files or content owned and operated by “Sellers”, providers and other third parties. These links may be provided by “Members” or by “TrCompass Real Estate” for ease of reference only. However, it is not intended to support the website to which the link is directed or its operator or the information it contains, or to verify or guarantee it in any respect. “TrCompass Real Estate” has no responsibility for the portals, websites, files and contents accessed through the links on the “Portal”, the services or products offered from the portals or websites accessed through these links or their content.

5.2.4. “TrCompass Real Estate” may remove messages and content that are contrary to the functioning of the “Portal”, law, legislation, the rights of others, the terms of the “Membership Agreement”, the protection of personal data, the general rules of morality at any time and in any way; “TrCompass Real Estate” may terminate the membership of the “Member” who entered this message and content without any notification. “TrCompass Real Estate” may impose additional obligations on the “Member” depending on the changes in the legislation, such obligations shall enter into force on the date of publication on the “Portal”.

5.2.5. “TrCompass Real Estate”, “TrCompass Real Estate” employees and managers have no obligation to investigate and check whether the content provided by “Members” and “Users” on the “Portal” is in compliance with the law, its authenticity and accuracy.

5.2.6. “TrCompass Real Estate” operates as a “Hosting Provider” within the scope of the “Law No. 5651 on the Regulation of Publications on the Internet and Combating Crimes Committed through These Publications”. TrCompass Real Estate does not guarantee that certain results will be produced by it as a result of the performance of the Agreement. “TrCompass Real Estate” does not make any representations and warranties in connection with the use of the “Portal”, including but not limited to the infringement of intellectual property rights and the accuracy of the contents of the advertisements. TrCompass Real Estate also assumes no responsibility for the late delivery, interruption or interruption of the services under the Agreement for any reason, including but not limited to maintenance, repair work, technical failures.

5.2.7. “TrCompass Real Estate” Portal and “Services”; It provides “As Is” and does not claim or undertake that the “Portal” and “Services” are error-free, flawless, uninterrupted, perfect or that they will meet the specific needs of the “Member”. “TrCompass Real Estate” may make all kinds of changes, updates and similar works on the “Portal” and as long as the “Member” continues to use the Portal and “Services”, he/she is deemed to have accepted the “Portal” and “Services” as he/she uses them (“As Is”). “TrCompass Real Estate”:

(i) The “Member’s” use, non-use, misuse of the “Portal” and “Services” or the “Member’s” failure to fulfill the commitments and obligations specified in the “Membership Agreement”;

(ii) all hardware, system software/other software and network-related functionality and any resulting failures;

(iii) communication network, internet connection, connection failures;

(iv) Any errors and malfunctions that may occur as a result of any changes, updates and similar works to be carried out on the “Portal”;

(v) voltage fluctuations, battery and power failures, virus infection and similar factors;

(vi) operating system incompatibilities;

(vii) without limitation to the foregoing, the occurrence of incompatibilities or errors that prevent the “Member” from using the “Portal”

It is not responsible for any direct or indirect damages arising from direct or indirect damages, all kinds of material, moral and financial damages such as loss of profit, loss of data, loss of business, loss of reputation, loss of expected savings, interruption of business, and any compensation claims that may be made by the “Member” or a third party in this context.

5.2.8 If it is determined that the information provided during the application of the “Member” is not sufficient, accurate or up-to-date or is misleading and malicious, the application of the person applying for membership has been rejected in advance, complaints or negative comments are received about the “Member” during the continuation of the membership and for similar reasons; “TrCompass Real Estate” may terminate the membership status of the “Member” by terminating this agreement without any notice and without any compensation obligation. “TrCompass Real Estate” may apply measures that “TrCompass Real Estate” deems appropriate in order to carry out the necessary examinations by “TrCompass Real Estate” officials before terminating the membership. Following the suspension, termination, expiration, suspension of the membership relationship or termination of the Agreement for any reason, “TrCompass Real Estate” has the sole authority to decide, at its sole discretion, on the fate of the content or other shares shared by the “Member” through the Portal.

6. Privacy Policy

6.1 “TrCompass Real Estate” may use information about “Members” on the “Portal” within the scope of this “Membership Agreement” and the Privacy Policy in Annex-2, which is one of the annexes and an integral part of this “Membership Agreement”. “TrCompass Real Estate” may disclose or use confidential information of “Members” to third parties only under the conditions specified in the Privacy Policy. The “Member” declares, accepts and undertakes to log in as a member in cases where he acts in the capacity of the Buyer in order to exchange messages between the Seller and the Buyer regarding the advertisement and to share his phone number with the Seller as the Buyer.

6.2. “TrCompass Real Estate” may use information such as name-surname, telephone number, e-mail address requested at the stage of becoming a “Member” outside the purpose and scope specified in the “Membership Agreement”; subject to the conditions stipulated in the legislation in force and by obtaining additional approvals and explicit consents when necessary, by SMS, e-mail, in-site notifications and similar methods, for promotional and informative communication activities, research, marketing activities and statistical analyzes or to contact the “Member” when necessary. Again, subject to the conditions stipulated in the legislation in force and by obtaining additional approvals and explicit consents when necessary, personal data may also be transferred to, processed and used by companies that “TrCompass Real Estate” cooperates with in order to conduct research, create a database and conduct market research to improve the processes of trcompass.com.

6.3. The data of the “Member”, which may constitute personal data and entered into the Portal by him/her, are collected and processed by “TrCompass Real Estate” within the scope of the “Membership Agreement”; for the use of the functions of the “Portal”, the provision of services and content and for the purposes listed above. 6.4. The “Member” is obliged to use the information accessed within the “Portal” in accordance with the purposes disclosed by the “Member” or “TrCompass Real Estate” disclosing this information, and accepts, declares and undertakes that he / she is responsible for the protection, processing, transfer and transfer of Personal Data belonging to Users or third parties and all obligations under the KVKK, and that TrCompass Real Estate does not have any obligation and responsibility under the KVKK for any personal data other than the personal data that TrCompass Real Estate collects in its own systems as mandatory for the use of the website. “Member”; accepts, declares and undertakes that if TrCompass Real Estate incurs a loss as a result of the decisions of the Personal Data Protection Board or administrative authorities or courts regarding personal data, in the event that it acts against the obligation to protect personal data or processes, transfers or otherwise processes personal data and this use constitutes a violation, it will compensate this loss in cash and in lump sum at the first request.

6.5. In case the “Member” is a real person resident of the European Union, the Law No. 6698 on the Protection of Personal Data and its secondary regulations and the decisions and regulations of the Personal Data Protection Board will be applied in relation to his/her personal data, and Turkish domestic law will be applied in all legal problems that may arise, regardless of the conflict of laws rules, It accepts, declares and undertakes that the European Union Directive 95/46/EC and the General Data Protection Regulation (GDPR), which entered into force in the European Union in May 2018, will not be applied and waives the application of the conflict of laws rules of the Turkish Law on Private International Law and Procedural Law.

6.6. “Member”, “TrCompass Real Estate” does not have any involvement of “TrCompass Real Estate” for the recording, processing, removal in search results by Google or other search engines or similar data indexing systems of his/her personal data that has become public due to his/her membership and / or advertisements published by “TrCompass Real Estate”, TrCompass Emlak does not have any contribution and that “TrCompass Emlak” does not have any responsibility for the processing or transfer of personal data in any form or manner in systems configured for indexing or other methods of searching, and accepts, declares and undertakes to direct the application requests to be made as the data owner to the data controller real and/or legal persons operating other search engines or search systems, indexing systems, especially Google, which has the title of data controller in the processes related to indexing.

6.7. “Member” accepts, declares and undertakes that he/she knows that he/she will not disclose his/her personal data of special nature while placing an advertisement or using the “TrCompass Real Estate” Portal, and that “TrCompass Real Estate” does not have any responsibility for the processing of this data in case of disclosure.

7. Intellectual Property Rights

“The information accessed within the “Portal” or provided by users in accordance with the law and all elements of this “Portal” (including but not limited to “TrCompass Real Estate Database”, “TrCompass Real Estate Interface”, design, text, images, html code and other codes) (collectively referred to as “copyrighted works of TrCompass Real Estate”) belong to “TrCompass Real Estate” and/or have been obtained by “TrCompass Real Estate” under license from a third party “Members”, “They do not have the right to sell, process, share, distribute, display or allow anyone else to access or use “TrCompass Real Estate” services, “TrCompass Real Estate” information and “TrCompass Real Estate” intellectual property and copyrighted works. Except as expressly permitted by “TrCompass Real Estate” within these “Portal Terms of Use”, you may not reproduce, process, distribute or make derivative works of copyrighted works of “TrCompass Real Estate”. With the conclusion of this “Membership Agreement”, “TrCompass Real Estate” establishes a non-exclusive and non-transferable right of use (simple license) to the “Member” for the limited use of the “Portal” under the terms of the “Membership Agreement” and for the purpose of benefiting from the “Services”.

8. “Membership Agreement” Amendments

“TrCompass Real Estate” may, at its sole discretion and unilaterally, change this “Membership Agreement” by publishing it on the “Portal” at any time it deems appropriate. The amended provisions of this “Membership Agreement” shall become effective and enter into force on the date of publication on the “Portal”, and the remaining provisions shall remain in full force and effect and shall continue to give rise to their provisions and consequences. This “Membership Agreement” cannot be changed by unilateral statements of the “Member”.

9. Force Majeure

In all cases deemed to be legally force majeure, “TrCompass Real Estate” is not liable for late or incomplete performance or non-performance of any of its obligations specified in this “Membership Agreement”. These and similar situations shall not be deemed as delay, incomplete performance or non-performance or default for “TrCompass Real Estate”, nor shall any compensation under any name be claimed from “TrCompass Real Estate” for these situations. The term force majeure shall be interpreted as unavoidable events beyond the reasonable control of the relevant party, including but not limited to natural disasters, riots, war, strikes, communication problems, infrastructure and internet failures, improvement or renewal works related to the system and failures that may occur for this reason, power outage and bad weather conditions, and which “TrCompass Real Estate” cannot prevent despite due diligence.

10. Applicable Law and Jurisdiction

In the implementation and interpretation of this “Membership Agreement” and in the management of legal relations arising within this “Membership Agreement”, Turkish Domestic Law shall apply directly, except for Turkish conflict of laws rules. ANTALYA Central (Kemer) Courts and Enforcement Offices are authorized to settle any disputes arising or may arise from this “Membership Agreement”.

11. Enforcement

This “Membership Agreement” and the annexes referred to in the “Membership Agreement” and which are an integral part of the “Membership Agreement” and the rules and conditions contained in the “Portal” have been concluded and entered into force electronically with the electronic approval of the “Member”. The invalidity, illegality or non-applicability of any provision of the “Membership Agreement” shall not affect the validity of the remaining provisions of the agreement.

These “Terms of Use” have been published on the website www.trcompass.com and made accessible by every natural or legal person using the “Portal”.


“Portal”:
 The website where “TrCompass Real Estate” offers its “Services”, consisting of the domain name www.trcompass.com and subdomains connected to this domain name.

Any natural or legal person accessing the “Portal”.

“Member”: “User” who is a member of the “Portal” and benefits from the services offered within the “Portal” within the conditions specified in this agreement.

“TrCompass Real Estate Services” (“Service”): These are the applications offered by “TrCompass Real Estate” in order to enable the “Member” to perform the business and transactions defined in this Agreement within the “Portal”. “TrCompass Real Estate” may make changes and/or adaptations to the “Services” offered in the “Portal” at any time. The terms and conditions that the “Member” is obliged to comply with regarding the changes and/or adaptations made shall be announced to the “Member” on the “Portal”, and the terms and conditions announced shall enter into force on the date of publication on the “Portal”.


“Content”:
All kinds of information, text, files, images, pictures, videos, figures, etc. published and accessible on the “Portal”. visual, textual and auditory images.

“TrCompass Real Estate Interface” : Internet pages that are used by “Users” in order that the content created by TrCompass Real Estate and “Members” can be viewed by “Users” and queried from the “TrCompass Real Estate Database”; Internet pages that command the computer program to perform all kinds of transactions that can be made through the “Portal” within the designs protected under the Law No. 5846 on Intellectual and Artistic Works and all intellectual rights belong to “TrCompass Real Estate”.

“TrCompass Real Estate Database” : The database belonging to “TrCompass Real Estate” where the contents accessed within the “Portal” are stored, classified, queried and accessed, protected in accordance with the Law No. 5846 on Intellectual and Artistic Works

3. TrCompass Real Estate Services

3.1. “TrCompass Real Estate” ensures that the contents uploaded to the “TrCompass Real Estate Database” by “Members” can be viewed by “Users” through the “TrCompass Real Estate Database” by using interfaces.

3.2.
“TrCompass Real Estate” provides various types of listing services that prioritize the display of advertisements in order to enable “Users” to access “Member” advertisements more easily within the “Portal”.

3.3.
“TrCompass Real Estate” provides reporting services under various categories for the number of transactions and views performed within the “Portal”.

3.4. “TrCompass Real Estate” reserves the right to add new services to the services provided within the “Portal”, to change the scope and conditions of provision of the existing services and the “Content” accessed within the “Portal” at any time, to close access to third parties and to delete them. “TrCompass Real Estate” may exercise this right as it wishes without any notice or prior notice.

4. CONDITIONS AND OBLIGATIONS REGARDING THE USE OF TRCompass Real Estate PORTAL

4.1. “Users” may perform transactions on the “Portal” for lawful purposes. The legal and criminal liability in every transaction and action of the “Users” within the “Portal” will belong to them, and the “User” accepts, declares and undertakes that “TrCompass Emlak” does not have any responsibility for such legal and criminal obligations.

4.2. The “Portal” works on the basis of displaying the “Content” uploaded by the “Members” to the “TrCompass Real Estate Database”. “TrCompass Real Estate” does not under any circumstances guarantee the accuracy, authenticity, security and legality of the advertisements and “Content” displayed by the “Users”. “Users” accept and declare that “TrCompass Real Estate” does not have any responsibility for the advertisements and “Content” in question, and that “TrCompass Real Estate” will not have any indemnification obligation for any damages that may arise.

4.3. “USER” accepts and undertakes that he/she will not reproduce, copy, distribute, process any pictures, texts, visual and audio images, video clips, files, databases, catalogs and lists contained in the “PORTAL”, will not engage in any commercial activity by performing such actions; and that he/she will not directly and / or indirectly engage in behaviors and transactions that constitute unfair competition.

4.4. “Users” will not engage in activities that will lead to unfair competition in accordance with the provisions of the Turkish Commercial Code within the “Portal”, will not perform acts that will undermine the personal and commercial reputation of “TrCompass Real Estate” and third parties, infringe or attack personal rights, and will act in accordance with the legislation, public order and general moral rules, It accepts and undertakes that it will take the measures and fulfill the procedures required by the legislation, and that it will not engage in attitudes and behaviors that are illegal, criminal, disturbing, damaging personal rights, infringing intellectual rights, copyrights, trademark rights and property rights.

4.5. “Users” are obliged to use the information they access within the “Portal” only for the purpose of the “Member” or “TrCompass Real Estate” disclosing this information and to view it for non-commercial purposes. The contact information in the advertisements entered by the Member placing the advertisement can be used for the purpose of communicating to get information about the advertisement. Personal data and/or sensitive personal data belonging to the advertiser or third parties under the protection of the Law No. 6698 on the Protection of Personal Data, which may be included in the advertisement, cannot be used for any other purpose, copied, published directly or indirectly in other media, processed, distributed, transferred to other databases and made available to third parties for access and use.

4.6. “TrCompass Real Estate” has a “Hosting Activity Certificate” in accordance with the Law No. 5651. Pursuant to Law No. 5651 and the relevant legislation, in order to comply with the obligations imposed on “Hosting Providers” in accordance with the relevant legislation, it records and stores the records specified in the relevant legislation regarding the transactions carried out by the “Users” on the “Portal” within the legal period.

4.7. “TrCompass Real Estate” may use, process, share, disclose, classify and store “User” information on a database, use it for promotional and informative communication activities, marketing activities and statistical analysis. “TrCompass Real Estate” may also use information such as the user’s IP address, which parts of the “Portal” the user visits, domain type, browser type, date and time for purposes such as statistical evaluation and providing personalized services and offers. “TrCompass Real Estate” may transfer User information to the companies it cooperates with in order to conduct research to improve its processes, to create a database and to conduct market research, and User information may be processed by these companies limited to the purposes listed above.

4.8. TrCompass Real Estate has the right to associate the user’s behavior on the site with a cookie in the browser and to define remarketing lists based on metrics such as the number of pages viewed, the duration of the visit and the number of target completions, to use marketing automation tools and to send special messages/offers and suggestions to the user for the purpose of online behavioral advertising and marketing. It may then display targeted advertising content to that user on the site or on other sites in the Display Network, based on users’ interests. In addition, Google may place cookies on the browser of Google USERS or read the cookies contained in them or use web beacons to collect information during the redirection of AFS ads to TrCompass Real Estate.

4.9. It is lawful for third parties to access the database where the content accessed and/or viewed through the “Portal” is stored only for the purpose of viewing the relevant content and/or within the framework of the “Terms of Use” of “TrCompass Emlak”. Accesses other than this are unlawful; “TrCompass Real Estate reserves all kinds of claims, lawsuits and follow-up rights.

4.10. “TrCompass Real Estate” allows to view the advertisements for the purpose of learning the contents of the advertisements and to use the “TrCompass Real Estate Interface”, and any attempt to access a certain number or all of the advertisements through the database for any purpose other than this, the advertisements, customer information, designs, codes and software, information contained in the database “TrCompass Real Estate” does not allow or consent to copying them partially or completely, publishing them directly or indirectly in other media, compiling, processing, modifying, transferring them to other databases, making them available to third parties from this database, and committing similar acts, including linking to advertisements on “TrCompass Real Estate”. Such acts are unlawful; “TrCompass Real Estate reserves its rights to claim, sue and pursue.

4.11. Using the whole or any part of the “Portal” for the purpose of corrupting, modifying, reverse engineering, attempting to break API protocols by reverse engineering or any other method, and API key, API secret key, request headers, unauthorized access to parameters such as client verification algorithm or sharing these parameters with third parties without permission, trying to access the “Site” in a way that prevents, disrupts or interferes with the communication or technical systems of the “Portal”, automatic programs, robots, spiders, web crawlers, spiders, data mining, data crawling, etc. on the Site. It is illegal to use the “Site” and the content on the “Portal” outside the limits of use determined by the “Terms of Use”; “TrCompass Real Estate” reserves all kinds of claims, lawsuits and follow-up rights. In case of detection of use contrary to these terms and laws; “TrCompass Real Estate” has the right to report the “User” to the competent authorities. “The “User” accepts that he/she is personally responsible for the damages and claims arising from such use.

4.12. “User” accepts and undertakes that “TrCompass Real Estate” cannot be held responsible for any direct and indirect damages that may occur in case of interruption of the service provided on the “Portal”, disruptions, delays, failures in information transmission, loss of data.

4.13. The Trust Stamp only indicates the existence of regulatory compliance criteria that are reviewed, monitored and controlled by the GDS in accordance with the relevant Communiqué. Apart from this, the Trust Stamp Provider cannot in any way be understood as the guarantor or guarantor of the contract between the parties, nor is it a guarantor of the defect-free qualities and complete supply and delivery of the goods or services on the E-commerce site. In addition, the Trust Stamp Provider shall not be held legally liable in any way for non-delivery, late delivery or non-delivery of the goods in accordance with the promised qualifications.


5. INTELLECTUAL PROPERTY RIGHTS

The information accessed or lawfully provided by users within this “Portal” and all elements of this “Portal” (including but not limited to “TrCompass Real Estate Database”, “TrCompass Real Estate Interface”, design, text, images, html code and other code) (collectively referred to as “copyrighted works of TrCompass Real Estate”) belong to “TrCompass Real Estate” and/or have been obtained by “TrCompass Real Estate” under license from a third party. “Users” do not have the right to resell, process, copy, share, share, distribute, display or allow anyone else to access or use “TrCompass Real Estate” services, “TrCompass Real Estate” information and copyrighted works of “TrCompass Real Estate”. Except as expressly permitted by “TrCompass Real Estate” within these “Site Terms of Use”, you may not reproduce, process, distribute or make derivative works of copyrighted works of “TrCompass Real Estate”.

Unless expressly authorized by “TrCompass Real Estate” within these “Terms of Use”, “TrCompass Real Estate” reserves all rights to “TrCompass Real Estate” services, “TrCompass Real Estate” information, “TrCompass Real Estate” copyrighted works, “TrCompass Real Estate” trademarks, “TrCompass Real Estate” trademarks, “TrCompass Real Estate” commercial appearance or other assets and information provided through this site.


6. CHANGES IN TERMS OF USE

“TrCompass Real Estate” may, at any time, unilaterally change these “Terms of Use” by announcing them on the “Portal” at any time. The amended provisions of these “Terms of Use” shall take effect and enter into force on the date of their announcement. These “Terms of Use” cannot be changed by unilateral declarations of the “User”.


7. FORCE MAJEURE

In all cases of force majeure, late performance, incomplete performance or non-performance, “TrCompass Real Estate” shall not be liable for any compensation. “Force majeure” shall be interpreted as events that are beyond the reasonable control of the relevant party and that “TrCompass Real Estate” cannot prevent despite due diligence, including but not limited to natural disasters, war, fire, strike, riot, riot, bad weather conditions, infrastructure and internet failures, improvement or renewal works related to the system and all kinds of failures and power outages that may occur for this reason are force majeure events.


8. APPLICABLE LAW AND JURISDICTION

In the implementation, interpretation and management of legal relations arising under these “Terms of Use”, Turkish Law shall apply, excluding Turkish conflict of laws rules in the event of a foreign element. Antalya Central (Kemer) Courts and Enforcement Offices are authorized to settle any disputes arising or that may arise from these “Terms of Use”.


9. ENFORCEMENT and ACCEPTANCE

These “Terms of Use” shall enter into force on the date of publication by “TrCompass Real Estate” on the “Portal”. “Users” accept these “Terms of Use” and the changes made over time by using the “Portal”.

Annex-1 trcompass Services

TrCompass Real Estate may make “price” and/or “rule” and/or “content” changes and terminate any of its services at any time without any notice or notification to the “User”/”Member” regarding the services mentioned below and other services that it will implement over time. Changes made by TrCompass Emlak regarding its services shall be effective as of the date of publication on the “Portal”. Every natural or legal person who accesses the “Portal” is deemed to have accepted all changes made by “TrCompass Real Estate”.

1. “TrCompass Real Estate” Ad Services

1.1. The “Member” will create and upload his/her advertisements to the TrCompass Real Estate Database through his/her “TrCompass Real Estate Membership Account” in accordance with the rules determined by “TrCompass Real Estate”.

1.2 “TrCompass Real Estate” shall evaluate the advertisement(s) created by the “Member” and accept or reject the publication of such advertisements on the “Portal”. “TrCompass Real Estate” shall freely determine and determine the criteria, conditions and periods for the evaluation of the advertisements and publish them on the “Portal”.

1.3 “TrCompass Real Estate” may temporarily or permanently suspend the publication of the relevant advertisement without any notice to the “Member” for reasons such as the advertisements published on the “Portal” being against the law and morality, infringing the personal and commercial rights of others or being the addressee of notices made in this direction or directly or indirectly violating the rules and conditions contained in this contract and the “Portal”. “TrCompass Real Estate” accepts, declares and undertakes that it will not make any reimbursement to the “Member” regarding the aforementioned situation, and likewise, the “Member” accepts, declares and undertakes that it will not demand and sue the return of the price it has paid from “TrCompass Real Estate”.

1.4 “TrCompass Real Estate” may make an agreement with third parties in order to display the advertisements of the “Member” and the text, pictures and contents within the advertisement on other sites, search engines and “TrCompass Real Estate” advertisements and advertisements. “Member” hereby expressly declares and accepts that he/she authorizes “TrCompass Real Estate” in this regard.

1.5 The “Member” accepts, declares and undertakes that he / she is responsible for all kinds of transactions and transactions made through the “TrCompass Real Estate Membership Account”; he / she accepts, declares and undertakes that he / she will not assert any defence and / or objection that he / she did not perform the transactions and transactions carried out here and / or will not refrain from fulfilling his / her obligations based on this defence or objection.

1.6 “Member” accepts, declares and undertakes that he/she will not perform any unlawful act such as defamation, defamation, commercial slander, threats or harassment in the advertisements to be published on the “Portal”, will not take initiatives and actions that will unjustifiably or excessively burden the infrastructure of the “Portal”, and will not allow texts and images with disgraceful, pornographic or immoral content to be included in the advertisements to be published on the “Portal”.

1.7 The “Member” shall advertise and promote its goods and services with real, accurate and lawful information in the advertisements published on the “Portal”. It is forbidden for the “Member” to advertise goods and services that he/she is not legally authorized to dispose of as stated in his/her advertisement. For “Members” who advertise within this scope, “TrCompass Real Estate” may suspend “Membership”, remove “Membership”, temporarily suspend “Membership”, unilaterally terminate this agreement without any refund obligation without any notice to the “Member”.

1.8 The “Member” accepts, declares and undertakes that he/she will not make any advertisements contrary to any legislation, including but not limited to those regulating consumer protection, intellectual rights, unfair competition, advertising issues, and that his/her advertisements will not contain statements contrary to these legislations and visuals such as pictures, videos.

1.9 The “Member” accepts, declares and undertakes to pay the fee for the category he/she has selected.

1.10 Natural or legal persons using the “Portal” may open only one membership account in the “Portal”. For this purpose, users accept, declare and undertake not to open more than one “TrCompass Real Estate Membership Account” using different user names, e-mail addresses, phone numbers. If TrCompass Real Estate determines that this rule has been violated; All “TrCompass Real Estate Membership Accounts” of the “Member” may be suspended or suspended by TrCompass Real Estate or this member may be removed from membership. In the event that the user who has been removed from the “Membership” for any reason or whose “Membership” has been suspended or suspended opens a new membership account to enter the Portal and this new membership is detected by TrCompass Real Estate; TrCompass Real Estate reserves the right to cancel all “TrCompass Real Estate Membership Accounts” of this user without any notice and to terminate this agreement unilaterally without any obligation to refund any fee, compensation or penal clause.

5. “TrCompass Real Estate” Shop Pages Services

5.1 It is the service that enables the advertisement contents entered by the “Members” through the “TrCompass Real Estate Membership Account” to be displayed collectively on the pages to be created by the “Members” under the name of “store” for a fee determined by TrCompass Real Estate.

5.2 The conditions of use and utilization of the Store Pages Services are specified in the relevant section of the Portal in the explanations for “Members”. “Members” are obliged to comply with the conditions specified in these statements.

In addition to the basic “services” listed above, “Members” may benefit from the “Services” announced on the “Portal” and whose terms of use are specified in the relevant sections of the “Portal”, if a fee is stipulated for the relevant service, by paying the specified fee. “Members” accept and undertake to comply with the obligations within the framework of the explanations made in the relevant section of the “Portal” regarding the services defined by “TrCompass Real Estate” within the scope of this article and announced in the relevant section of the “Portal”.

Listing Rules – Real Estate

  1. Only information about the real estate should be included in the title and description of the advertisement.
  2. In the advertisement title and advertisement description sections, no advertisement content should be written, links and photos of the product should not be added.
  3. The photos, videos and 3D tour images used in the advertisements to be published must belong to the real estate sold/leased. TrCompass Real Estate has no responsibility for the published content, photos, videos or 3D Tour images added to the advertisement as a link.
  4. The correct information must be included in the criteria specified in the advertisement entries (square meters, number of rooms, floor, price, etc.).
  5. Company logos, phone numbers or links, logos or names of different websites should not be included in the content of the photos, videos, 3D Tour images. Images marked as selected showcase images should not include company logos, phone numbers, links to websites, colored backgrounds, colored frames, text content, company names, photoshop and similar applications and plug-ins.
  6. The photo(s) of a different user within the system should not be used.
  7. A real estate property should be advertised separately for sale and separately for renting. The same advertisement cannot contain both for sale and for rent details.
  8. The same advertisement cannot be re-entered into the system by deleting the first advertisement. Members who delete an advertisement and re-enter it into the system and perform similar activities may have their advertisements deleted, their membership may be frozen or their membership may be canceled.
  9. Separate advertisements should not be entered for real estates with the same characteristics in the same site or block, a single advertisement should be made and in the description of this advertisement, it should be stated that there are different apartments in the same location. A second entry with the same feature is considered a duplicate (same entry).
  10. Different images should be used for each advertisement, and the same image should not be used in a second advertisement, even in the same location.
  11. Real estate advertisement entries must be made by the owner or with the approval of the owner. This responsibility belongs to the advertiser. In line with the objection of the owner, these advertisements of the members may be deleted, their membership may be frozen or their membership may be canceled.
  12. Representative prices should not be given for real estate for sale or rent.
  13. We recommend you to submit your apartment advertisements that you want to be transferred together with the debt from the For Sale by Transfer Housing category. If you want to publish your advertisement from the Housing/Sale category, the total amount with all debts must be written in the price field.
  14. Web page, e-mail address and company contact information should not be included in the advertisement description sections. The phone number and username should only be published in the “User information” section. Store users can create a promotional page for their store and publish their contact and address information in this area, but they should not specify their web page and e-mail address
  15. “hired”, “wanted”, etc. in the advertisement title or description. phrases cannot be included.
  16. Sold or rented products cannot be re-posted as Sold/Rented. Advertisements that create the impression that the sales transaction is in progress or that may deceive and mislead the consumer, such as “optioned”, “down payment received”, “sold”, “thank you for your interest” or similar expressions are not published, and the advertisements that are already published are removed from publication..
  17. The advertisements of the properties owned by the Banks can only be published on the Portal by the Banks by purchasing the “Real Estate from the Bank” package. Individual or corporate members who purchase Individual or Store package cannot publish advertisements on the Portal for real estate belonging to Banks. If they do, the advertisement will be removed and the Store will be closed.
  18. The information entered for some criteria determined by trcompass.com during the advertisement phase cannot be changed later by the advertiser, and the advertiser agrees in advance that he/she will not object to this issue. trcompass.com reserves the right to determine which criteria information cannot be changed, to change the criteria it determines over time and to apply the criteria determined as of the date of change to all advertisements.”
  19. Those who publish Daily Rental Ads are obliged to act in accordance with the new regulations introduced by the Decree Law on Making Certain Regulations within the Scope of the State of Emergency dated 22/11/2016, legal legislation and the Rules of Posting Ads on the Portal. The Daily Rental Advertiser will be solely responsible for the penalties to be imposed on those who publish daily rental ads without fulfilling their legal obligations.
  20. Housing> Only monthly rental ads can be placed in the For Rent category. Daily, weekly, etc. rental ads must be placed in the Daily Rental category.
  21. For daily rental apartments, the daily rental price should be entered in the price criteria.
  22. It is the advertiser’s responsibility to decide whether the advertisement is considered as a workplace or a residence. The selected category is accepted as correct, and if there is no violation of the advertisement rules, the advertisement is published.
  23. Separate advertisements should be made for each different real estate. Bulk sales cannot be made for immovable properties in different locations.
  24. In the Touristic Facility category, only an entire touristic facility can be rented or sold.
  25. The price information of the advertisements in the categories regarding the contract types specified in the “Decree Amending the Decree No. 32 on the Protection of the Value of Turkish Currency” dated September 13, 2018, the “Communiqué on the Decree No. 32 on the Protection of the Value of Turkish Currency” dated October 6, 2018 and the Communiqué Amending the Communiqué on the Decree No. 32 on the Protection of the Value of Turkish Currency dated November 16, 2018 and numbered 30597 must be entered in Turkish Lira.

Important Information:

The address information entered while placing an advertisement is regularly updated in accordance with the current data of the company from which trcompass.com receives address updating services and the General Directorate of Population and Citizenship Affairs.

Only one advertisement for a product can be placed on trcompass.com. In the event that more than one advertisement is placed for the same product, the excess advertisement(s) will be removed from the publication and these advertisement(s) will be deducted from the package/ad limit and will not be refunded.

Annex – 2 User Profile Modification

“Portal”: A website consisting of the domain name www.trcompass.com and subdomains linked to this domain name.

“User”: Any natural or legal person accessing the “Portal” on-line.

“Member”: Natural and/or legal persons who are members of the www.trcompass.com portal and benefit from the services offered within the “Portal” within the conditions specified in this agreement.

“Membership”: It is completed by the “User” who wants to become a “Member” from the relevant section of the “Portal” by filling out the membership form required to become a member of the “Portal”, providing identity information, confirming the accuracy of the identity information, if the service to be used in the membership form is a paid service, the registration process is completed by paying the fee and the registration process is completed by “TrCompass Real Estate”. Without completing the membership process, the right and authorization to become a “Member” defined in this agreement cannot be obtained.

“Buyer”: By using the “Secure Electronic Commerce System” service specified in this contract; “Member” who is a real or legal person who purchases goods and services offered for sale by the “Seller” through the “Secure Electronic Commerce System”.

“Seller”: The real and/or legal person “Member” who offers the goods and/or services for sale to the “Member” by using the “Secure Electronic Commerce” service specified in this contract, which has the right and authority to make all kinds of savings without legal dispute.

User Profile; It is the information pages where the scores and comments made by the users in line with the evaluations of other buyers and sellers are displayed as a result of the purchase and sale transactions they have made in the past by making use of the “Secure Electronic Commerce Service” through the “TrCompass Real Estate” “portal”.

The Member Profile evaluation system is an evaluation and scoring system created entirely by the initiative and evaluations of “Members” in order to enable secure communication and trade between “Members” and to enable “Members” and “Users” to have an idea about other “Members”. The right and authorization to enter new messages in the Member Profile belongs only to the “Member” and “TrCompass Real Estate”. When adding new comments to the user profile, “Members” shall enter their comments only in line with their experience and knowledge gained through the use of “TrCompass Real Estate” “Services” and “Portal”.

While creating the Member Profile and adding new comments to the user profile, all legal and criminal liability regarding the comments and ratings made by the “Members” belongs to the “Member” who added the comment and made the rating. “TrCompass Real Estate” The User shall not accept any legal liability for comments and ratings on User Profiles. “TrCompass Real Estate” has no obligation to investigate or evaluate whether such comments and ratings are fair or accurate.

“Members” may not, under any justification, use any method to manipulate the Member Profile evaluation system, to force the counterparty “Member” with whom they are dealing to make positive comments about their own profile or to prevent them from making negative comments; if they do, they accept and declare that they will compensate all damages incurred by TrCompass Real Estate and that TrCompass Real Estate has the right to terminate this agreement unilaterally and without notice and to terminate the membership of the “Member”.

“Members” cannot transfer the member profiles created for them to another “member” under any terms and conditions or allow them to be used in any way. In the event that the “Member” transfers or makes available the member profile created for him/her, the “Members” accept and declare that TrCompass Real Estate has the right to terminate this agreement unilaterally and without notice and terminate the membership of the “Member”.

Users accept and declare that if the comments made by them are included in one of the categories listed below, “TrCompass Real Estate” has the right to remove the comment in question and / or suspend or terminate the “TrCompass Real Estate” membership of the commenter:

“Members” accept and declare that if they violate the rules specified by TrCompass Real Estate on the portal or the provisions of this agreement and its annexes, TrCompass Real Estate may deduct penalty points from their user profiles.
